The Board of Actors’ Trust is considering updating the charity’s Articles of Association in response to recommendations from an independent governance review. This is set out in more detail here. These changes would include:
- Reducing the number of trustees from 16 down to 12, the upper limit recommended by the Charity Governance Code, eight of whom should be elected from the membership and four appointed to bring essential skills and experience that might not be found among Actors’ Trust members.
- Replacing the requirement for one third of member trustees to stand down each year with trustees serving for terms of three years, with the option of standing for re-election at the end of a first term for a further consecutive three-year term. This would bring greater stability and continuity, which is important for the effective running of a charity.
These changes would be voted on by members at the 2026 AGM. In the meantime, should members not wish to proceed with these changes, we would be required to continue with our current process for trustee elections at our 2026 AGM. In those circumstances, should any member wish to stand for election at this year’s AGM, this page outlines the information on this.
The Role of an Actors’ Trust Trustee
The Board of Trustees is responsible for the overall governance and strategic direction of Actors’ Trust, developing its aims, objectives and goals in accordance with the Articles of Association, legal requirements and regulatory guidelines.
It is collectively responsible for promoting the success of the charity by directing and supervising the charity’s affairs. Its role is to provide leadership within a framework of prudent and effective controls which enable risk to be assessed and managed.
For more information on trustees’ main legal responsibilities please refer to the Charity Commission’s guidance ‘The essential trustee (CC3)’, which sets out the following key duties of trustees:
- Ensure the charity is carrying out its purposes for the public benefit
- Comply with the charity’s governing document and the law
- Act in the charity’s best interests
- Manage the charity’s resources responsibly
- Act with reasonable care and skill
- Ensure the charity is accountable

- Either a supporting statement of no more than 2 sides of A4 or, if you prefer, a video of no more than 4 minutes long, detailing why you would like to be considered, your relevant experience and expertise, what you think you can bring to the role and what you hope to gain from the role.

Under the charity’s Articles, the Board has created a Nominations Committee to oversee the procedure for identifying candidates with a range of skills and experience to be proposed for election to the Board. The panel is chaired by appointed trustee Karen Myers, with member trustee Brad Cole, and with Dame Mary Marsh as an independent member. Their role is to assess trustee applications received and make recommendations to the membership. A person may still stand for election even if they are not recommended by the committee.
Should the changes to the charity’s Articles not go ahead, the membership of Actors’ Trust would then vote for candidates at its Annual General Meeting in October 2026.
